Terms of Agreement for Datamoto Partners

Datamoto and the Partner each acknowledge and agree that they will endeavor to take reasonable action to achieve a successful outcome in the Datamoto Partner Program.

THE PARTNER AGREES TO THE FOLLOWING STARTER STEPS:

  • Accept this Terms of Agreement
  • Sign in the partner portal
  • Agree to bring new clients to Datamoto and share the monetary benefits for the acquired clients

Acceptance to the Datamoto Partner Program will be confirmed when the Partner registers in the Datamoto Partner portal.

DURATION OF THE AGREEMENT

Once the Partner agreement is accepted by Datamoto, this agreement will remain until superseded or terminated by either party. This Partnership agreement supersedes all previous partnership.

DISPUTES AND TERMINATION OF THE AGREEMENT

If there is a dispute of among Datamoto’s Partners or Datamoto’s sales agents and Partner regarding ownership of acquired customer, then this dispute will be resolved through documentary evidence such as email.

Either party may terminate this agreement for any reason, giving notice of one month. Datamoto reserves the right to accept or decline any organization or individual becoming a Datamoto Partner. Datamoto also reserves the right to terminate its relationship with any existing Partner. Even after partnership termination, the Partner will continue to get the on-going partnership monetary benefits for the clients that it already added while Partner was active unless it chooses to take a lump sum amount.

GOVERNING LAW AND VENUE

Partner and Datamoto explicitly agree that the laws of California and the federal laws of USA applicable will govern all disputes, claims or other matters arising from or relating to the partnership therein.

NULL AND VOID

In case of Datamoto cease to exist then this partnership agreement automatically becomes null and void. In the case of Datamoto selling its operation or business to another entity, then this partnership agreement will transfer to the new entity. The new business entity may choose to renegotiate the partnership agreement with Partner.

BILLING AND STATUS

Partner is qualified for monetary benefits for the subscription revenue generated from the customers that it brings to Datamoto. The Partner will be paid at the end of each month. The Partner agrees to adhere to the Datamoto subscription and payment terms.

INTELLECTUAL PROPERTY

This Partnership agreement does not involve any intellectual properties from either party. All the intellectual properties of either party remain as it is.

BUSINESS AND SERVICE

All the customers brought by the Partner automatically become Datamoto’s customers. Datamoto will provide the same level of service to the customers brought by Partner as it does for any other customers depending on their subscription level.

PARTNER MONETARY BENEFITS AND PAYMENT TERMS

A Partner is paid commission from the subscription revenue that Datamoto collects from the customers that the Partner brings to Datamoto. The subscription revenue is calculated based on collected subscription fee minus discounts if any and minus credit card or bank processing fees if any.
